2. Eligibility & Account Requirements

The Services are intended for use by businesses and individuals who operate Shopify stores ("Merchants"). By using the Services, you represent that:

• You have authority to bind the Shopify store and any connected advertising accounts
• All information you provide is accurate and up to date
• You will use the Services only for lawful business purposes

Fenryl does not provide services directly to consumers.

3. Description of Services

Fenryl provides analytics, attribution, and performance insight tools that allow Merchants to analyze ecommerce and advertising data.

The Services may integrate with third-party platforms including Google, Meta, TikTok, and Shopify. Fenryl does not manage advertising campaigns, place ads, or make spending decisions on behalf of Merchants.

4. Account Access & Authorizations

To use certain features, you must authorize Fenryl to access third-party platforms (such as Google Ads, Meta, TikTok, or Shopify).

• Authorizations can be revoked at any time through the Fenryl dashboard or the relevant third-party platform
• You are responsible for maintaining the security of your accounts and credentials

Fenryl is not responsible for unauthorized access resulting from compromised credentials outside of its control.

5. Merchant Responsibilities

You agree that you are solely responsible for:

• Obtaining all required consents from your store visitors and customers
• Complying with applicable privacy, advertising, and consumer protection laws
• Ensuring your use of the Services does not violate third-party platform terms

Fenryl relies on Merchant-managed consent mechanisms and does not provide legal advice regarding compliance obligations.

6. Data Usage & Ownership

• Merchants retain ownership of their data
• Fenryl processes data solely to provide the Services, as described in the Privacy Policy
• Fenryl may generate aggregated and anonymized analytics derived from Merchant data

Fenryl does not sell Merchant data or use it for advertising purposes. Furthermore, Fenryl does not use any data obtained from Google APIs to train, retrain, or improve generalized Artificial Intelligence (AI) or Machine Learning (ML) models.

7. Fees & Billing

Certain features may be subject to fees.

• Pricing and billing terms will be disclosed prior to purchase
• Fees are non-refundable unless required by law
• Fenryl may modify pricing with advance notice

Failure to pay applicable fees may result in suspension or termination of access.

8. Acceptable Use

You agree not to:

• Use the Services for unlawful or deceptive purposes
• Attempt to reverse engineer or misuse the Services
• Interfere with system security or integrity
• Use the Services to violate third-party platform policies

Fenryl may suspend or terminate access for violations of this section.

9. Suspension & Termination

Fenryl may suspend or terminate your access to the Services:

• For violation of these Terms
• To comply with legal obligations
• To protect platform integrity or security

Upon termination, access to the Services will cease. Data handling following termination is governed by the Privacy Policy.

10. Disclaimers

The Services are provided "as is" and "as available." Fenryl disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and accuracy.

Analytics, attribution, and insights are estimates and may differ from third-party platform reporting.

11. Limitation of Liability

To the maximum extent permitted by law:

• Fenryl shall not be liable for indirect, incidental, or consequential damages
• Fenryl’s total liability arising from the Services shall not exceed the fees paid to Fenryl in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Fenryl from claims arising out of:

• Your use of the Services
• Your violation of these Terms
• Your failure to obtain required consents

13. Third-Party Services

The Services depend on third-party platforms. Fenryl is not responsible for outages, changes, or actions taken by these platforms.

Your use of third-party services is governed by their respective terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15. Changes to These Terms

Fenryl may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
